Mondsee, November 8th, 2005: The spin-off of CHRIST WATER TECHNOLOGY AG resolved on September 26, 2005 by the General Meetings of BWT Aktiengesellschaft – Europe’s market leader in the field of water treatment – and its wholly-owned subsidiary CHRIST WATER TECHNOLOGY AG has been filed in the Austrian Commercial Register. The spin-off is thus complete and the Aqua Systems Technologies division is now legally independent and has left the BWT Aktiengesellschaft Group.
CHRIST WATER TECHNOLOGY AG has been listed on the stock exchange. Trading of the company’s securities assumes today.
As the process involves a spin-off preserving share capital structure, the shareholders of BWT Aktiengesellschaft became shareholders of CHRIST WATER TECHNOLOGY AG, receiving one share for every share held. The shareholder structure of both companies is thus (at the time of share allocation) identical. The shares are allocated by Bank Austria Creditanstalt AG, which is acting as trustee. The shares are credited automatically for persons with securities held in custody. Persons keeping their shares at home or in a bank safe were invited in the Wiener Zeitung to contact Bank Austria Creditanstalt to receive their shares.
Both BWT Aktiengesellschaft and CHRIST WATER TECHNOLOGY AG will publish separate figures for Q3 on November 30, 2005.
